1. Agreement to Terms

By accessing or using the engaij.ai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

engaij.ai provides a software-as-a-service platform for nonprofit organizations to manage fundraising, email communications, supporter relationships, and related activities ("Platform").

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization. Organizations using our Platform must be legitimate entities operating for lawful purposes.

4. Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

5. Fees and Payment

Subscription Fees: Paid plans are billed monthly or annually. Fees are non-refundable except as required by law.

Platform Fee: A 2.5% platform fee applies to all donations processed through our Service. This fee is in addition to payment processor fees (Stripe: 2.2% + $0.30).

Fee Changes: We may change fees with 30 days notice. Founding member pricing is guaranteed for 3 years from enrollment.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send spam or unsolicited communications
  • Upload malicious code or interfere with the Service
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Process payments for prohibited activities

7. Data Ownership

Your Data: You retain ownership of all data you upload to the Platform, including supporter information and content.

License to Us: You grant us a license to process and display your data as necessary to provide the Service.

Aggregated Data: We may use anonymized, aggregated data to improve our Service.

8. Payment Processing

Donation payments are processed by Stripe. By using our donation features, you agree to Stripe's terms of service. We are not responsible for Stripe's actions or any payment processing failures.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Engaij, Inc. and is protected by copyright, trademark, and other intellectual property laws.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGAIJ, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

13. Indemnification

You agree to indemnify and hold harmless Engaij, Inc. from any claims arising from your use of the Service or violation of these Terms.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration in accordance with the American Arbitration Association rules.
